1. About These Terms

These Terms and Conditions (“Terms”) govern your use of the website at https://avpbooks.com (the “Website”), the AVP Online digital learning platform (including AVP Online: Mathlete and AVP Online: Classroom), and any printed or digital products you purchase from us.

The Website and platform are operated by Absolute Value Publications Ltd. (“AVP”, “we”, “our”, “us”), an Alberta corporation. We sell printed educational books, Equation Books, and digital subscription products to customers in Canada, the United States, and select international markets.

These Terms apply to all visitors, customers, and registered users.

2. Acceptance

By using the Website, creating an account, placing an order, or accessing any AVP product or service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not use our services.

If you are using the services on behalf of a school, school district, or other organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access digital subscriptions and certain Website features, you must create an account. You agree to:

  • Provide accurate and current registration information;
  • Maintain the security of your login credentials;
  • Promptly notify us at [email protected] of any unauthorized access or use of your account;
  • Take responsibility for all activity that occurs under your account.

Schools and school districts may designate administrator-level users responsible for managing teacher and student accounts within their organization.

We may suspend or close accounts that contain false information, are inactive for extended periods (see our Privacy Policy), or are used in violation of these Terms.

4. Pricing, Payments, and Taxes

4.1 Pricing

Prices are listed in Canadian dollars unless otherwise stated. We reserve the right to correct pricing errors and to cancel orders affected by such errors, with full refund of any amounts already charged.

4.2 Payment

Payment is processed by Stripe. AVP does not see, collect, or store your full credit card number or CVV. By placing an order, you authorize Stripe to charge the payment method you provide for the total amount of the order, including any applicable taxes and shipping.

4.3 Taxes and duties

Applicable Canadian taxes (GST, HST, or PST) are calculated and collected at checkout based on the shipping destination. International customers are responsible for any customs duties, import taxes, or fees imposed by the destination country; these are not collected by AVP and are not refundable.

5. Orders, Shipping, and Fulfillment

All orders are subject to acceptance by AVP. A confirmation email indicates that your order has been received but does not constitute acceptance; acceptance occurs when we ship the order or, for digital products, when we grant access.

We may decline or cancel an order for reasons including but not limited to: stock unavailability, suspected fraud, pricing error, or inability to ship to the requested destination. If we cancel an order for which you have already paid, we will issue a full refund.

We partner with FMI Canada for warehousing and physical book fulfillment. Shipping timelines vary by destination and are estimates only. Risk of loss for physical goods passes to you upon delivery to the carrier.

6. Digital Subscriptions

6.1 Access and use

Access to AVP Online is granted upon successful purchase or activation. Subscriptions are personal to the named user (for individual subscriptions) or to the assigned seat-holder within a designated institutional account (for institutional subscriptions). You may not share, transfer, or resell your account or login credentials.

6.2 Subscription term and renewal

Subscription terms are specified at the time of purchase. Unless otherwise stated, individual subscriptions are valid for one (1) year from the date access is granted. Institutional subscriptions follow the term specified in the school’s purchase order or invoice.

Subscriptions do not auto-renew unless you expressly opt in at the time of purchase. We will contact you in advance of expiry with renewal options.

6.3 Institutional subscriptions

Schools, school districts, and other institutional purchasers may have additional terms specified in a purchase order, master agreement, or invoice. Where an institutional document conflicts with these Terms, the institutional document governs to the extent of the conflict.

6.4 Misuse

We may suspend or terminate access for credential sharing, unauthorized redistribution of content, or other misuse, as further described in Section 12.

7. Acceptable Use

You agree not to:

  • Share login credentials with others, or allow unauthorized persons to access your account;
  • Reproduce, redistribute, or publicly post AVP content outside the educational use license described in Section 8;
  • Reverse engineer, decompile, or attempt to derive the source code of AVP Online or its components;
  • Access the Website or AVP Online by automated means (scrapers, bots) without our written permission;
  • Use AVP content or User Content to train artificial intelligence or machine learning models;
  • Probe, scan, or attempt to test the security of our systems without authorization;
  • Use the Website or AVP Online to harass, defame, or harm others;
  • Use our services for any unlawful purpose or in violation of any applicable law.

8. Intellectual Property and Content

8.1 AVP content

All content created or licensed by AVP — including books, digital content, graphics, assessments, instructional materials, and the AVP Online platform itself — is owned by AVP or its licensors and is protected by Canadian and international intellectual property laws.

We grant you a limited, non-transferable, non-exclusive license to access and use AVP content for personal study or educational classroom use. This license includes:

  • Reasonable display in classroom and instructional settings;
  • Printing of student-facing worksheets where this is the intended use;
  • Personal note-taking and annotation.

The license does not permit:

  • Public redistribution, online or in print;
  • Sale, sublicense, or commercial reuse;
  • Use as training data for artificial intelligence or machine learning models;
  • Reverse engineering of the platform or its assessments.

8.2 User content

Annotations, written work, notes, and other content you create within AVP Online (“User Content”) remain owned by you. Where User Content is created by a student in the course of school use, ownership rests with the student or the school as applicable under local law (see our Privacy Policy, Section 7).

You grant AVP a limited, non-exclusive license to host, store, display, and back up your User Content solely as necessary to operate the platform. AVP will not use User Content for marketing, advertising, behavioural profiling, or to train artificial intelligence or machine learning models.

9. Returns, Refunds, and Cancellations

Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms by reference and forms part of your agreement with AVP.

10. Privacy

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated by reference.

11. Service Availability

We make reasonable efforts to keep the Website and AVP Online available and functioning. We do not guarantee that the services will be uninterrupted, error-free, or available at all times. Scheduled maintenance, updates, and unforeseen outages may temporarily affect availability.

We are not responsible for delays, interruptions, or losses caused by events beyond our reasonable control, including but not limited to: power or telecommunications failures, internet service disruptions, infrastructure provider outages, natural disasters, government action, labour disputes, or acts of war or terrorism.

12. Suspension and Termination

We may suspend or terminate your account if you breach these Terms, misuse our services, engage in unauthorized distribution of content, or fail to pay any amount when due. For material breaches, we will, where reasonable, provide notice and an opportunity to cure before suspending or terminating.

For institutional subscribers with active paid subscriptions, AVP will not terminate access except for material breach — such as confirmed unauthorized redistribution of content or non-payment — and will provide written notice. On termination, AVP will provide a reasonable window for the institution to export teacher and student content as described in our Privacy Policy.

You may close your account at any time by contacting [email protected]. Closing an account does not entitle you to a refund except as provided in our Return & Refund Policy.

Sections of these Terms that by their nature should survive termination — including Sections 8, 13, 14, and 17 — shall survive.

13. Limitation of Liability

To the maximum extent permitted by applicable law, AVP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our products, the Website, or AVP Online — including loss of profits, loss of data, or loss of business opportunity — even if AVP has been advised of the possibility of such damages.

AVP’s total aggregate liability for any direct damages arising under or in connection with these Terms shall not exceed the total amount paid by you to AVP in the twelve (12) months preceding the event giving rise to the claim.

AVP makes no guarantees regarding academic performance outcomes resulting from use of our materials.

Nothing in these Terms limits your rights under applicable consumer-protection legislation that cannot be lawfully limited or excluded.

14. Indemnification

You agree to indemnify and hold harmless AVP, its directors, officers, employees, and agents from any claim, loss, liability, or expense — including reasonable legal fees — arising out of:

  • Your breach of these Terms;
  • Your misuse of AVP content or services;
  • Your violation of any law or third-party right.

This obligation survives termination of your account.

Notices from AVP to you may be delivered by email to the address associated with your account, by posting on the Website, or, where appropriate for institutional customers, by mail or email to the institution’s billing contact.

16. Changes to These Terms

We may update these Terms from time to time. Minor or clarifying changes take effect upon posting. For material changes that affect your rights or paid services, we will provide at least thirty (30) days’ notice by email to active account holders or by prominent notice on the Website. Your continued use of the services after a change takes effect constitutes acceptance of the updated Terms.

The “Effective Date” and “Last Updated” date at the top of this document indicate when these Terms were most recently revised.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws principles.

The courts of the Province of Alberta shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that AVP may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property.

18. General Provisions

18.1 Entire agreement

These Terms, together with the Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and AVP regarding our services and supersede any prior agreements on the same subject matter, except where an institutional master agreement or purchase order provides otherwise.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 No waiver

Our failure to enforce any right under these Terms is not a waiver of that right.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. AVP may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Section headings are for convenience only and do not affect interpretation.
